Riviera Digital Agency
These Terms and Conditions (hereinafter referred to as the “Terms”) govern the relationship between Riviera Digital Agency (hereinafter referred to as the “Agency”) and its customers (hereinafter referred to as the “Customer”).
Article 1: Purpose
The Agency offers digital marketing, audiovisual production and content creation services aimed at improving its customers’ online visibility and performance. These services include
- Website creation and redesign: Design of modern, responsive platforms optimized for user experience.
- SEO & SEA: Optimization of Google rankings (SEO) and management of paid advertising campaigns (Google Ads, Meta Ads, etc.).
- Digital marketing strategy: social network management, advertising campaigns, content creation and marketing automation.
- Audiovisual production: Creation of promotional videos, event reports and animated content.
- Visual identity & graphic design: Design of logos, graphic charters and communication media.
By engaging the Agency, the Customer accepts these Conditions, which may be supplemented by specific clauses depending on the project.
Article 2: Contractual commitment
The contract between the Agency and the Customer is formed as soon as a quotation or order form is signed. By validating a quotation, the Customer acknowledges that he is authorized to bind his company to this agreement, and undertakes to respect the obligations arising therefrom.
In some cases, additional conditions from partners or service providers may apply and will be communicated to the customer before the project is confirmed.
Article 3: Agency obligations
3.1 Quality commitment
The Agency undertakes to provide services in line with market standards, using its expertise and resources to maximize customer satisfaction.
3.2 Developing digital strategies
On receipt of the initial payment, the Agency will :
- Audit and development of a personalized strategy tailored to the customer’s objectives.
- Implementation of marketing campaigns (SEO, SEA, social media).
- Design and optimization of digital media (website, graphic and video content).
3.3 Service provider management and tools
- Selection of service providers (hosting companies, analytics tools, advertising software).
- Supervision and coordination of the various parties involved in the project.
3.4 Communication and follow-up
The Agency ensures regular monitoring of the project, communicates performance reports to the Customer and remains available for any questions or reasonable adjustments.
Article 4: Customer obligations
4.1 Providing information
The Customer undertakes to provide all the information required for the proper execution of the project, in particular :
- Access to advertising accounts and analysis tools (Google Ads, Meta Business Suite, etc.).
- Content (text, images, video) to be integrated into digital media.
4.2 Payment
The customer undertakes to respect the agreed payment schedule. Any delay may result in the suspension of services until payment has been made.
4.3 Validation of deliverables
The customer must validate the deliverables within the set deadlines. Any delay in validation may have an impact on the project schedule.
Article 5: Terms of payment
5.1 Down payments and due dates
Payment for services is made according to the following schedule:
- 50% of the total amount on signature of the quotation to start the project.
- The remaining 50% on final delivery of the project.
For projects of less than 30 days, full payment may be required on validation.
5.2 Billing of additional services
Any service not included in the initial quotation will be the subject of an additional quotation submitted to the customer for approval prior to execution.
5.3 Late payment penalties
In the event of late payment, penalties of 1.5 times the legal interest rate will apply, in addition to any collection costs.
Article 6: Modifications and adjustments
6.1 Modification requests
Any changes requested after the quotation has been validated may be subject to additional charges depending on the work required.
6.2 Contingencies and technical adjustments
If technical constraints or market developments require adjustments to the service, the Agency will propose suitable alternative solutions to the Customer.
Article 7: Cancellation and termination
7.1 Cancellation by the Customer
In the event of cancellation after signing the quotation :
- More than 30 days before the start of the project: 50% of the total amount is due to cover preparation costs.
- Less than 30 days before the start of the project: 100% of the total amount will be invoiced.
7.2 Cancellation by the Agency
The Agency reserves the right to cancel a service in the event of :
- Non-compliance with payment obligations by the Customer.
- Force majeure preventing project execution.
In the event of cancellation by the Agency, a refund of the sums paid will be made, except in cases of force majeure.
Article 8: Intellectual property
- All deliverables created by the Agency (content, designs, videos, marketing strategies) remain its property until the project has been paid for in full.
- Once payment has been received, the rights of use are transferred to the Customer, unless otherwise specified.
Any unauthorized use, modification or reproduction of deliverables prior to payment is prohibited.
Article 9: Confidentiality
The Agency undertakes to preserve the confidentiality of information exchanged with the Customer. No data will be shared with third parties without prior consent.
For its part, the Customer undertakes not to divulge the methods and strategies used by the Agency.
Article 10: Limitation of liability
- The agency makes every effort to guarantee the performance of its campaigns and strategies, but cannot guarantee a precise result due to external factors (Google algorithms, competition, market trends).
- The Agency cannot be held responsible for the actions of third parties (hosts, advertising platforms, social networks) affecting campaign performance.
Article 11: Force majeure
The Agency cannot be held responsible for any delay or failure in project execution in the event of force majeure (natural disaster, health crisis, cyber-attack, etc.).
Article 12: Applicable law and jurisdiction
These Conditions are governed by French law. In the event of a dispute, the Commercial Court of Nice shall have jurisdiction.
